Your own structure for tokenized issuance.
We design and set up the vehicle, the legal framework and the investor experience, optimised for cost, compliance burden and time to market.
Vendor by vendor
3–5 months
Legal → Vehicle → Identifiers → Registrar → Tokenization → KYC → Distribution
With Unlayer
Weeks
One contract. One price. One closing date.
A dedicated vehicle
An SPV set up for your issuance, acting as issuer of record, with a tokenized register kept by Unlayer.
The legal framework
Issuance documentation structured to reach professional and retail* investors across EU Member States.
The investor experience
A portal for onboarding, subscription and holdings, live from the first day.
*Services to retail investors are subject to Unlayer obtaining authorisation as a European crowdfunding service provider (ECSP) under Regulation (EU) 2020/1503. Until then, offerings are open to professional investors only.
Three things we optimise.
Cost
One engagement replaces the vendor chain. You pay for one outcome, not ten invoices.
Compliance burden
Documentation, registrar, KYC and investor rules are coordinated for you.
Time to market
Issue in weeks, not months.
How an engagement runs.
Assess
We look at the asset, the investors you want to reach and the jurisdictions involved.
Design
We propose the structure and walk you through the trade-offs before anything is signed.
Set up
Vehicle, documentation, registry and portal, coordinated by us.
Issue
You open the book. We run the closing and keep the register afterwards.
Who we structure for.
Private companies
Raising beyond the bank, from a broad base of investors.
Asset owners
Real estate, receivables and private credit turned into transferable securities.
Cross-border deals
US and EU issuers reaching investors on the other side.
Special situations
Transactions that don’t fit a standard template.
Typical issues range from €3M to €30M, with 30 or more investors.
Questions, answered.
What is the SPV in a tokenized issuance?
A special purpose vehicle set up for your issuance. It acts as issuer of record, and its register is kept in tokenized form by Unlayer.
Which investors can the issuance reach?
Professional investors across EU Member States today. Services to retail investors are subject to Unlayer obtaining authorisation as a European crowdfunding service provider (ECSP) under Regulation (EU) 2020/1503.
How long does it take?
Weeks. Legal work, the vehicle, the registrar, tokenization and KYC run in parallel instead of vendor by vendor, which usually takes three to five months.
How is it priced?
One all-inclusive price, agreed upfront in a single contract. After the assessment we come back with a structure, a timeline and that price.
What size of issuance do you structure?
Typical issues range from €3M to €30M, with 30 or more investors. We also take on special situations that don’t fit a standard template.
What happens after the issuance?
We keep the register. Distributions, transfers and redemptions run from the same console, and investors keep using the same portal.
Bring us the asset.
We’ll come back with a structure, a timeline and a single price.
